Corporate Governance and Compliance Manager Permanent Hybrid working

Home working is on offer for the majority of this role however travel into the Reading will be expected for monthly board meetings

MBNL is a joint venture of EE/BT and Three. The company requires strong governance activities to meet MBNL and its shareholders requirements and enable it to operate as a high performing tower company including by meeting compliance requirements.

The Corporate Governance & Compliance Manager has day-to-day responsibility for managing governance and compliance. Responsible for the management and secretariat of the MBNL's Board and Corporate Governance Committees and taking day to day responsibility for governance and compliance issues; ensuring good governance and reporting processes are observed and complied with across the business and between the Shareholders. Leading effective communications, championing and training, across MBNL on governance and compliance.

Whilst the office of company secretary is held within Three's group parent, this role has responsibility for the day-to-day company secretarial duties of MBNL.

Responsibilities of Corporate Governance & Compliance Manager

  • Providing company secretarial duties for the board and committees operated by MBNL which include senior representatives from its shareholders
  • The main governance forums for providing company secretarial support in this role would be the Joint Venture Board, Executive Committee (ExCom), Health and Safety Executive Steerco and Audit and Risk Committee.
  • Acting as the delegate for company secretarial duties for the Technical, Finance, and Operational Finance Committees (TechCom, OpFinCom and FinCom).
  • Manage the senior management team review meetings for the ExCom and MBNL Board meetings to ensure effective governance and appropriate decisions making.
  • Provide support, advice and guidance on MBNL's Corporate Governance Framework and processes and other regulatory requirements to EE/BT, Three and MBNL Staff.
  • Regular review of corporate governance and compliance procedures and processes to identify potential areas of improvement.
  • Ensuring meetings have appropriate and up to date Terms of Reference.
  • Support and implement assurance compliance processes for conflicts, anti-corruption and bribery, Gifts and hospitality management
  • Deal with queries and information requests from multiple functions, Shareholders and external parties on Corporate Governance and compliance.
  • Maintaining corporate policies and processes on governance, risk and compliance

The successful Corporate Governance & Compliance Manager will have:

  • Company secretarial experience
  • Strong organisational and communications skill
  • Confident to work in a senior environment, interacting and influencing at board level
  • Compliance knowledge
  • Corporate governance experience
  • Process management skills
  • Ability to operate autonomously
  • Excellent attention to details
  • Ability to work under pressure and in a fast-paced environment
